1. About these Terms

These Terms of Service (“Terms”) govern your access to and use of reconcpay.quest’s B2B reconciliation automation software-as-a-service (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

The Service is designed to generate workflow automation outputs to support business reconciliation processes. It does not provide legal advice, tax advice, accounting advice, or other professional advice.

2. Eligibility; B2B use

The Service is provided for business users. You represent that you have authority to bind your organization to these Terms.

3. Service description; no legal or tax advice

You understand and agree that:

  • Outputs generated by the Service are automation results based on inputs you provide and configurations you choose.
  • Any reconciliation outputs may require review and approval by qualified personnel.
  • Nothing in the Service constitutes legal, tax, or regulatory advice.

4. Acceptable use

You agree not to:

  • Use the Service in violation of applicable laws or regulations.
  • Interfere with or disrupt the Service (including attempting to bypass security, access data not intended for you, or overload systems).
  • Use the Service to store, transmit, or process unlawful content.
  • Misrepresent your identity or authority when accessing the Service.
  • Reverse engineer, decompile, or disassemble the Service except where such restrictions are prohibited by law.

5. Your data and account

You are responsible for the accuracy, quality, and legality of the inputs you provide to the Service (“Your Data”). You must maintain appropriate security for any credentials or access methods provided to your organization.

To the extent the Service processes personal information in connection with Your Data, you are responsible for ensuring that you have the necessary rights and notices for such processing, and reconcpay.quest will handle such information in accordance with applicable privacy laws and your instructions.

6. Intellectual property

The Service and all underlying technology, including software, workflows, templates, and documentation (excluding Your Data), are owned by reconcpay.quest or its licensors and are protected by intellectual property laws.

Subject to your compliance with these Terms, reconcpay.quest grants you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes during the term of your subscription.

7. Subscription; service availability

Service availability is not guaranteed. reconcpay.quest may suspend, discontinue, or modify the Service for maintenance, security, or operational reasons, including on an emergency basis, with reasonable efforts to provide notice when practicable.

8. Fees; payment; taxes

Fees and billing terms are set out in your subscription agreement or order documentation. Unless otherwise stated, fees are non-refundable. You are responsible for all applicable taxes, duties, and similar charges.

9. Limitation of liability

To the maximum extent permitted by applicable law, reconcpay.quest and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, goodwill, or data, arising out of or related to the Service.

To the maximum extent permitted by applicable law, reconcpay.quest’s total liability for claims arising out of or related to these Terms will not exceed the amounts you paid to reconcpay.quest for the Service in the three (3) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Term; termination

These Terms remain in effect while you use the Service or until terminated in accordance with your subscription agreement. reconcpay.quest may suspend or terminate access if you materially breach these Terms and do not cure within a reasonable time, or if required by law or to protect the Service.

Upon termination, your right to access the Service stops. Sections intended to survive will survive.

11. Privacy; cookies; personal information

If the Service processes personal information or personally related information (including through cookies or online identifiers), reconcpay.quest will provide an appropriate privacy notice and, where applicable, obtain consent or rely on an appropriate legal basis for sharing, consistent with applicable Japanese privacy requirements.

12. Security

reconcpay.quest uses reasonable administrative, technical, and organizational measures designed to protect Your Data and account information. However, no system can be guaranteed to be completely secure.

13. Third-party services

The Service may integrate with or rely on third-party services. Your use of third-party services is subject to the third-party terms and policies. reconcpay.quest is not responsible for third-party availability or content.

14. Specified Commercial Transactions (Japan)

If your access to the Service is offered/contracted in a manner that falls under Japan’s mail-order-style “specified commercial transactions,” reconcpay.quest will display and provide the required service/contract information, including business operator identification and contract withdrawal/cancellation-related matters, in accordance with applicable requirements.

15. Changes to the Terms

We may update these Terms from time to time. The “Last updated” date indicates when changes were made. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

16. Governing law; dispute resolution

These Terms are governed by the laws of Japan. Any dispute will be subject to the jurisdiction of the competent courts in Japan.
